Terms and Conditions

Switzerland · Effective 26 October 2026

Operator: Terravate Verein, Maertenweg 5, 5073 Gipf-Oberfrick, Switzerland | Tel. +41 79 924 51 43 | www.SustainPass.ch

1. Scope, parties and acceptance

These Terms govern the participation of a business or nonprofit organisation (“Partner”) in SustainPass, operated by Terravate Verein (“Terravate”). The Partner enters into this agreement by submitting its registration, selecting an applicable plan and affirmatively accepting these Terms; participation is effective when Terravate approves the application. The accepted registration identifies the Partner, its plan and the acceptance date and forms part of this agreement. Individual app users are governed by separate consumer terms. The Partner confirms that the person accepting is authorised to bind it.

2. Admission and eligibility

Terravate retains the right to decide which organisations qualify for SustainPass, applying its published sustainability and participation criteria in good faith. Partners must provide accurate registration details, comply with applicable laws and provide reasonable substantiation of sustainability claims or qualifying certifications when requested. Admission is not a certification or endorsement by Terravate. The initial launch nonprofit allocation is limited to ten approved organisations. Nonprofits join free of charge if approved and must be registered charities or nonprofits with a relevant sustainability, environmental, social impact, education or wellbeing mission, operate transparently and ethically, and provide an annual impact update. Free participation is subject to continued eligibility and availability.

3. Initial launch, prices and billing

The initial launch offer lasts three months from the official launch date announced by Terravate. Partners joining during this period commit to the full three-month initial term. There is no setup fee. The monthly prices for the initial term, excluding any applicable VAT, are: Nonprofits CHF 0; Basic CHF 10; Growth CHF 19; Premium CHF 39. Partners may instead pay the entire three-month term in advance for a 10% discount: Basic CHF 27.00; Growth CHF 51.30; Premium CHF 105.30. Otherwise the applicable monthly fee is invoiced monthly in advance. Payments are due within 30 days of invoice unless a different due date is expressly shown on the invoice. The 10% discount applies only to the three-month upfront option and does not combine with other discounts.

Businesses that joined during the initial launch period and remained active throughout the full three months retain the following “Loyalty price” for the 12 months following the initial launch: Basic CHF 15, Growth CHF 35, Premium CHF 69 per month. Businesses first joining after the initial launch pay Basic CHF 25, Growth CHF 45 or Premium CHF 99 per month. Nonprofit plans remain free while approved and eligible. All listed prices exclude applicable VAT. Terravate will give at least three months’ advance notice of price changes; a change does not retroactively alter an already-paid period.

4. Renewal and cancellation

After the initial three-month commitment, paid plans continue on a monthly basis unless cancelled with one month’s notice effective at the end of a calendar month. A cancellation must be communicated in text form through the business contact channel or contact form on www.SustainPass.ch; Terravate will acknowledge receipt. No early cancellation refund is due for the committed initial term except where mandatory law, a material breach by Terravate or an express written agreement requires it. Either party may terminate for material breach if it remains unremedied 14 days after written notice, where remediation is possible. Immediate suspension or termination may be justified for serious fraud, unlawful conduct, security risk or material misleading claims. Accrued payment obligations and existing consumer commitments survive termination as applicable.

5. Included plan features

Basic: business listing and map location; one purchase-based Impact Point activity; basic reward participation; five one-week banner promotions per year. Growth: enhanced business listing; up to ten Impact Point activities; up to ten redeemable rewards; monthly performance report; ten one-week banner promotions per year. Premium: premium placement; up to twenty Impact Point activities; up to twenty redeemable rewards; advanced analytics; twenty-four one-week banner promotions per year; up to four promotional push notifications per year; priority placement, early access to seasonal campaigns and first choice of available calendar slots. Nonprofits: five one-week banner promotions per year; other features only if expressly agreed. Plan limits refer to available configured functions, not guaranteed customer engagement, sales or impressions.

6. Promotions and extras

Each included banner promotion lasts one week, is displayed within the app and does not include a push notification. All promotions and push notifications are subject to availability in the promotion calendar and advance booking; Premium Partners receive priority in choosing available slots. Extra banner weeks cost CHF 25 during the initial launch period and CHF 50 afterwards. Additional push promotions cost CHF 50 during the initial launch period and CHF 100 afterwards, subject to availability and Terravate’s approval. Promotional pushes are available to Premium Partners up to four times per year under their plan; at least one promotional push per week is reserved for use across all businesses to protect users from overuse. Paid extras require the Partner’s affirmative approval before billing. Annual allowances are not guaranteed to carry over or convert to cash.

7. Profiles, content and sustainability representations

The Partner is responsible for the accuracy, legality and currency of its business profile, prices, offers, logos, photographs, certificates and environmental or social impact claims. The Partner must not make misleading or unsubstantiated claims, including broad claims such as “carbon neutral” or “zero waste” without adequate support. Terravate may edit content for clarity or format, request substantiation, decline publication or remove misleading or unlawful material. The Partner grants Terravate a non-exclusive, royalty-free licence to use submitted names, trademarks and content during participation for app operation and promotion of the partnership, without transferring ownership. The Partner must have the rights to all submitted materials.

8. Offers, rewards and consumer obligations

The Partner is the independent supplier and contractual counterparty for its goods, services, events and redeemable rewards, unless a particular offer expressly states otherwise. It is responsible for accurate descriptions, availability, pricing, taxes, lawful advertising, product safety, booking conditions, fulfilment, customer service, returns and refunds. Before publishing an offer, the Partner must provide material conditions including any stock limit, validity period, minimum spend, reservation requirement, redemption rules and additional charges. The Partner must honour validly issued and accepted offers under their published conditions and may not retrospectively withdraw an accepted consumer entitlement without a lawful remedy. Terravate manages the platform and point records but is not the seller of independent Partner goods or services.

9. Impact Points, verification and misuse

Impact Points are non-cash, non-transferable app participation units governed by the consumer terms. Partners must validate eligible purchases, activities and redemptions only through approved methods and must not create fictitious activity, duplicate claims or fraudulent point awards. Points may be corrected where qualifying transactions are refunded, cancelled or shown to be invalid. Partners will cooperate reasonably in investigating errors, abuse and customer complaints. Any Partner-funded rewards or costs must be expressly agreed; participation alone does not authorise an unlisted fee.

10. Monthly Community Impact Programme

SustainPass may operate a monthly community programme in which each eligible registered user casts one vote for a nominated local nonprofit or project without spending Impact Points; bonus points may be awarded for voting. The intended monthly sponsor-funded award is CHF 2,000, subject to committed funding and the campaign rules announced for that month. Votes are not user donations, and no award is guaranteed unless the funding and terms are confirmed. Business participation does not create an obligation to sponsor. Any sponsorship, donation, sponsor recognition or related financial commitment requires a separate express agreement. Sponsors may not purchase votes or determine the winning project.

11. Privacy, confidentiality and security

Each party shall comply with the Swiss Federal Act on Data Protection (FADP/DSG) and other applicable data-protection requirements. Terravate uses Hello Again as a software provider under its data-processing arrangements. The parties shall determine and document their respective data-protection roles before exchanging personal data. The Partner may access and use only the data made available for legitimate offer fulfilment and permitted programme administration; participation gives no general right to user lists, individual voting histories or marketing databases. Independent marketing requires a lawful basis and compliance with applicable consent and advertising requirements. The Partner must secure account credentials, limit staff access, promptly report suspected incidents to Terravate and assist reasonably with relevant data-subject requests. Confidential business and technical information must not be disclosed except as legally required or agreed.

12. Platform availability and changes

Terravate will use reasonable care to operate and maintain the app, but does not guarantee uninterrupted access, a particular number of customers, sales or any particular commercial outcome. Maintenance, technical failures, third-party service interruptions and reasonable platform changes may affect availability. Terravate will give reasonable notice of material planned changes where practicable and will address material failures of paid services in accordance with applicable Swiss contract law. Changes to these Terms that materially affect contractual rights will be notified in advance; they do not retroactively change agreed charges for a paid period.

13. Liability and allocation of responsibility

Each party is liable under applicable Swiss law for losses caused by its own breach of contract or other unlawful conduct. The Partner bears responsibility for claims relating to its products, services, safety, advertising, sustainability representations, fulfilment, staff and legal compliance. Terravate bears responsibility for its own platform operations and contractual duties. Neither party excludes or limits liability for intent or gross negligence, or any liability that cannot validly be excluded under Swiss law, including Article 100 of the Swiss Code of Obligations. To the extent legally permissible, neither party is liable for indirect or consequential loss, loss of expected profits or third-party service interruption where it is not responsible for the cause. Nothing in this clause relieves either party of its own obligations or limits mandatory rights. The parties will promptly notify each other of material third-party claims affecting the other and cooperate reasonably; neither party may settle a claim on the other’s behalf without authority.

14. Termination consequences

Upon expiry or termination, Terravate may remove the Partner’s public listing and cease future promotions, subject to a reasonable operational transition. Fees due for services already provided remain payable. The Partner remains responsible for valid offers, bookings and rewards accepted before termination, and for handling resulting consumer claims and refunds. Each party will cease unauthorised use of the other’s trademarks and handle personal data under applicable retention and deletion obligations. Any outstanding dispute about an invoice or reward will be handled in good faith.

15. Governing law, disputes and final provisions

These Terms are governed by Swiss substantive law, subject to mandatory applicable rules. For disputes between commercial parties, the competent courts at Terravate Verein’s registered seat have jurisdiction to the extent permitted by law. The parties will first seek an amicable resolution. The parties are independent contractors; neither may bind the other without express authority. If a provision is invalid, the remaining provisions continue to apply to the extent legally permissible. Notices may be sent to the registered business contact or Terravate’s postal address and through the contact channel on www.SustainPass.ch. These English Terms and the accepted registration/plan constitute the agreement; where there is a conflict, the accepted plan details govern specific commercial selections, while these Terms govern general rights and obligations. No Partner purchasing terms apply unless Terravate expressly accepts them.

Research use and access

Terravate’s authorised personnel, including the person conducting a University of Basel master’s thesis who also administers SustainPass, may access identifiable app-user data for legitimate platform operations. Access for academic research is a distinct purpose: identifiable or re-identifiable individual-level records will not be used for the thesis without prior, specific, informed consent and any required University of Basel research-ethics approvals or procedures. Refusal or withdrawal of optional research consent does not prevent use of the app or participation as a Business Partner. Research outputs shared with Partners are anonymised and aggregated; Partners receive no direct access to individual app-user data.

Research governance and reporting

Terravate will document role-based access, purpose separation, data minimisation, consent records, secure storage, retention, and safeguards against re-identification. The researcher must follow applicable University of Basel research-ethics requirements; stating that requirement does not imply that the University has already approved the project. Research findings may be published only in a form that does not identify users or expose small-group data.

Language and jurisdiction clarification

These Terms are issued in English, German, French and Italian. In case of uncertainty, inconsistency or translation discrepancy, the English text prevails to the extent permitted by mandatory law. Swiss substantive law governs disputes, subject to mandatory jurisdiction and other non-waivable protections.
